About the Opportunity

This is an excellent opportunity for an experienced property paralegal or in-house legal assistant to join a close-knit, high-performing commercial property business.

In this role, you will take genuine ownership of our legal documentation and leasing workflows, acting as the central legal filter for our portfolio. Working closely with senior management and external lawyers, you will review leases and commercial contracts, handle pre-litigation correspondence and dispute triage, and guide lease transactions smoothly from agreed commercial terms right through to final registration. Key Responsibilities

- Comprehensive Commercial & Retail Lease Management:
- Perform detailed clause-by-clause legal reviews of commercial and retail lease agreements, standard master leases, and special condition annexures.
- Compare and redline tenant solicitor markups against agreed Heads of Agreement (HoA) terms, identifying non-standard risks, indemnities, or liability clauses for management review.
- Audit lease execution blocks (Corporations Act Section 127 compliance,



power of attorney, trusts, and individual execution) to ensure legal enforceability prior to exchange.
- Compile and verify all lease annexures, including premises plans, fit-out guides, and outgoings schedules.

- Heads of Agreement & Statutory Disclosures:

- Draft and issue Heads of Agreement (HoA) for in-house leasing deals and review/amend HoAs submitted by external leasing agents.
- Prepare statutory Lessor Disclosure Statements in strict compliance with the Retail Leases Act NSW, tracking mandatory disclosure notice periods.

- Ancillary Property Deeds & Document Preparation:

- Draft and review routine ancillary property documents, e.g. Licence Agreements (storage, parking, signage), and Sublease Consents.
- Prepare detailed instruction briefs for external solicitors on bespoke agreements (e.g. Deeds of Variation, Deeds of Assignment/Transfer, Surrender Deeds, Incentive Deeds, etc.).

- Dispute Triage & Legal Correspondence:

- Review, draft, and issue formal pre-litigation correspondence, including Notices of Breach/Default, Notice to Remedy, rental arrears demand letters, and make-good dispute correspondence before matters escalate to formal proceedings.

- Broader Property & Contract Review:

- Review and advise on general property contracts across the portfolio, e.g.



building maintenance agreements, fit-out contracts, service provider contracts, and access deeds.

- Compliance & Registration:

- Audit Bank Guarantees (wording, beneficiary name, expiry, amounts) and Certificates of Currency (public liability thresholds, named interests) prior to handover.
- Manage revenue stamping, NSW Land Registry Services (LRS) lodgements, and PEXA transactions to ensure prompt and complete lease registration.

What You Bring

- 3+ years of hands-on experience reviewing, drafting, or administering commercial and retail leases within a property law firm, conveyancing practice, or commercial landlord office.
- Deep knowledge of NSW commercial leasing contracts, standard Law Society/commercial lease templates, and statutory requirements under the Retail Leases Act 1994 (NSW).
- Strong contractual literacy with the ability to redline complex clauses, cross-reference terms against commercial agreements, and audit execution formalities.
- Experience drafting formal legal correspondence, default notices, and managing early-stage lease dispute correspondence.
- Experience with NSW Land Registry Services (LRS) filings, PEXA, and title/ASIC search platforms.
- Sharp attention to detail, structured follow through, and strong organisational skills.
- Clear written and verbal communication skills.
