As Telix continues its growth as a dual ASX and NASDAQ-listed organisation, an outstanding opportunity has arisen for an experienced Company Secretary to join the business in a pivotal governance leadership role. Based in Sydney or Melbourne, this appointment offers the opportunity to work at the highest levels of a globally recognised organisation operating at the forefront of healthcare innovation.

Reporting to the Group General Counsel, you will serve as a trusted adviser to the Chair, Board and Executive Leadership Team, leading the Company Secretariat function and supporting governance, compliance and disclosure obligations across multiple jurisdictions. This role offers unique exposure to Board-level decision-making, sophisticated governance matters and the regulatory complexity of a dual-listed global organisation.

Key Responsibilities

- Lead Board and Committee governance activities, including agendas, papers and minutes.
- Advise directors and executives on governance, compliance and regulatory matters.
- Oversee ASX Listing Rule compliance and continuous disclosure obligations.
- Lead Nasdaq and SEC reporting compliance requirements.
- Manage AGM processes,



shareholder engagement and equity plan governance.
- Support governance and statutory compliance across Telix's international operations.

About You You will be an accomplished governance professional with significant listed company experience and the ability to operate confidently at Board and executive level.

You will bring

- Senior company secretarial or governance leadership experience within an ASX-listed setting.
- Strong knowledge of corporate governance, continuous disclosure and regulatory compliance.
- Expertise in the Corporations Act, ASX Listing Rules and ASIC requirements.
- Exposure to US securities law, SEC reporting and Nasdaq compliance will be highly regarded.
- Exceptional communication, stakeholder management and influencing skills.
