JS Careers are pleased to be assisting a leading Australian private credit firm on a senior legal hire, ideally based in Sydney or Brisbane. This is an exciting opportunity for a senior banking & finance lawyer to play a key role across the companies investment activities, corporate matters and legal strategy.

The Prospect The role will provide legal leadership across a broad range of transactions, including origination, structuring, due diligence, execution, portfolio management, restructurings and exits. You will work closely with Head of Legal and the broader company to provide pragmatic legal advice that supports investment decision-making and commercial outcomes.

Key responsibilities will include

- Leading legal strategy and execution on private credit transactions
- Advising on debt financing, structured finance, corporate finance and complex investment structures
- Drafting, negotiating and reviewing facility agreements, security documents, intercreditor arrangements, investment agreements and associated transaction documentation
- Advising on portfolio matters including restructurings, amendments, waivers, defaults and enforcement
- Supporting investment teams through due diligence, execution and ongoing portfolio management
- Providing strategic legal advice on corporate,



regulatory and governance matters
- Managing and overseeing external legal advisers
- Identifying and managing legal and regulatory risk across the investment platform
- Contributing to the development of legal processes, precedents and governance frameworks
- Working closely with senior leadership on strategic and commercially significant matters

About you You will be an Australian-qualified lawyer with ideally 10+ years of experience gained within a leading law firm, financial institution or comparable in-house environment.

The ideal candidate will have:

- Strong experience advising on debt financing transactions
- Experience in leveraged finance, structured finance, corporate finance or asset finance
- Strong commercial judgement and the ability to balance legal risk with investment objectives
- The confidence to operate directly with senior professionals and executives
- A pragmatic, solutions-oriented approach and the ability to operate in a fast-paced investment environment
