We are seeking an experienced and highly professional Company Secretary to join our leadership team and play a pivotal role in supporting the Board of Directors and Executive Management.

The Role
Reporting directly to the Board Chair and Chief Financial Officer, you will be responsible for ensuring the organisation meets its statutory, regulatory and governance obligations while delivering high-quality support to the Board and its Committees.
Key Responsibilities
· Act as a trusted adviser to the Board and Executive Management on governance and compliance matters. · Manage all Board and Committee meetings, including the preparation of agendas, Board papers, minutes and action registers.
· Ensure compliance with the Corporations Act 2001, ASX Listing Rules and other applicable regulatory requirements.
· Manage ASX announcements and support the organisation’s continuous disclosure obligations.
· Maintain company registers, statutory records and corporate documentation.
· Coordinate Annual General Meetings and shareholder communications.
· Support Board effectiveness initiatives,
director induction and ongoing governance reviews.
· Liaise with regulators, external advisers, auditors and other key stakeholders.
· Monitor developments in corporate governance and regulatory requirements and advise on their implications.
About You
To be successful in this role, you will possess: · Proven experience as a Company Secretary or Assistant Company Secretary within an ASX-listed environment.
· Comprehensive knowledge of the Corporations Act 2001, ASX Listing Rules and contemporary corporate governance principles.
· Demonstrated experience supporting Boards and Board Committees.
· Exceptional written communication and minute-taking skills.
· Strong organisational, project management and stakeholder engagement capabilities.
· High levels of integrity, professionalism, discretion and sound judgement.
· Relevant tertiary qualifications in Law, Governance, Business, Commerce or a related discipline.
· A Bachelor of Laws (LLB) or equivalent legal qualification is preferable but not essential.
· Membership of the Governance Institute of Australia, or an equivalent professional body, will be highly regarded.
