Henley Reid is exclusively retained by a leading Australian alternative asset management business to appoint a Senior Legal Counsel – Funds.
With approximately $40 billion in assets under management, the business operates a sophisticated investment platform across Australia and key offshore markets.
This is an opportunity to join a highly commercial legal team at an exciting stage of growth. You will act as a key legal adviser to the funds management business across Australia and offshore. The role provides direct exposure to senior executives, investment professionals and key decision-makers, with the opportunity to be involved in new products, capital raising and strategic transactions as they develop.
The Role The role provides broad and diverse exposure across the full lifecycle of investment products, from fund structuring and establishment through to product development, capital raising and ongoing management across a wide range of established and newly created funds.
Key Responsibilities
- Advise on the structuring, establishment and ongoing operation of onshore and offshore funds and investment vehicles
- Support the development and launch of new funds, products and investment strategies
- Advise on managed investment schemes, trust structures, disclosure, governance and financial services regulation
- Prepare and review PDSs, information memoranda, investor documentation and related fund materials
- Support capital raising activities across listed, wholesale and institutional investment products
- Advise on investor arrangements, subscriptions and distribution matters
- Advise on capital transactions, including term sheets, mandates and transaction documentation
- Provide legal support on selected acquisitions, co-investments, joint ventures and other strategic transactions
- Work directly with senior executives, investment professionals and other key stakeholders on significant business initiatives
About You
- Approximately 8+ years’ PAE gained in a leading law firm and/or sophisticated in-house funds or investment management environment
- Significant experience in funds management, including fund structuring, establishment, product development and ongoing management
- Experience advising on capital raising and investor-facing documentation will be highly regarded but not essential
- Confident working directly with senior executives, investment professionals and key decision-makers
- Comfortable operating with a high degree of autonomy and taking ownership of matters from inception through to execution
