We are seeking a Senior Legal Counsel – Structured Finance & Complex Structures to work directly with senior leadership on complex, high‐value transactions.This role is not a traditional legal advisory position.
You will be responsible for designing, stress‐testing and implementing transaction structures in situations where:Legal entitlement, control and execution sit in different placesEnforcement pathways are not straightforwardCounterparties (banks, custodians, issuers)



operate under competing constraintsStandard market documentation is insufficientYou will play a central role in ensuring transactions are both commercially executable and legally defensible, particularly across:Structured credit and capital markets transactionsCustody and collateral structuresEnforcement and default mechanicsCross‐border, multi‐party transaction frameworksKey Responsibilities Transaction Structuring & Deal ExecutionLead legal structuring on complex transactions from origination through executionTranslate commercial concepts into clear, enforceable legal frameworksIdentify gaps between intended structure vs operational executionControl, Custody & Enforcement AnalysisAnalyse how assets are held, controlled and instructed in practice (not just legally)Design workable enforcement pathways in default scenariosAssess limitations imposed by custodians, banks and counterpartiesLender & Credit PositioningDetermine what a structure actually supports from a lender perspectiveIdentify whether arrangements are:non‐relianceBuild the minimum legal and documentation stack required for credit acceptanceenforceability vs operational intentbankruptcy remoteness and recharacterisation riskEnsure the business is protected on:fees and engagement riskdependency on third partiesDocumentation & NegotiationDraft and negotiate:bespoke transaction structuressecurity / control documentationintercreditor and enforcement frameworksWork directly with:BanksCustodiansIssuersExternal counselQualificationsAdmitted legal practitioner (Australia or comparable common law jurisdiction)8–15+ years PQE in:structured financebanking & financecapital markets or securitisationCritical Experience (Must‐Have)Experience working on non‐standard or bespoke transaction structuresStrong understanding of:collateral and security frameworkscustody and control mechanicsenforcement and default pathwaysAbility to assess how structures actually work in practice, not just on paperHighly DesirableExposure to:cross‐border transactionstrustee / security agent structurescapital markets infrastructureExperience dealing with situations where:documentation, control and enforcement are not fully alignedKey AttributesHighly commercial and outcome‐drivenAble to operate in ambiguous, high‐pressure environmentsStrong judgement — knows where to hold the line vs move forwardStructured thinker with the ability to design solutions, not just critique themDirect, clear communicator with senior stakeholdersWork ArrangementThis is a full‐time, in‐office role based in Sydney CBD.We operate in a high‐performance, collaborative setting, and this role requires:daily face‐to‐face engagementclose interaction with senior leadershiphands‐on involvement in live transactionsInvestment BankingEmployment TypeFull‐time
