Role Description
n
This is a full‐time, in‐office role based in Sydney (not remote or hybrid).
n
We are seeking a Senior Legal Counsel – Structured Finance & Complex Structures to work directly with senior leadership on complex, high‐value transactions.
n
This role is not a traditional legal advisory position. You will be responsible for designing, stress‐testing and implementing transaction structures in situations where:
n
n
Legal entitlement, control and execution sit in different places
n
Enforcement pathways are not straightforward
n
Counterparties (banks, custodians, issuers) operate under competing constraints
n
Standard market documentation is insufficient
n
n
You will play a central role in ensuring transactions are both commercially executable and legally defensible, particularly across:
n
n
Structured credit and capital markets transactions
n
Custody and collateral structures
n
Enforcement and default mechanics
n
Cross‐border, multi‐party transaction frameworks
n
n
Key Responsibilities Transaction Structuring & Deal Execution
n
n
Lead legal structuring on complex transactions from origination through execution
n
Translate commercial concepts into explicit, enforceable legal frameworks
n
Identify gaps between intended structure vs operational execution
n
n
Control, Custody & Enforcement Analysis
n
n
Analyse how assets are held, controlled and instructed in practice (not just legally)
n
Design workable enforcement pathways in default scenarios
n
Assess limitations imposed by custodians, banks and counterparties
n
n
Lender & Credit Positioning
n
n
Determine what a structure actually supports from a lender perspective
n
Identify whether arrangements are:n
n
non‐reliance
n
Build the minimum legal and documentation stack required for credit acceptance
n
enforceability vs operational intent
n
bankruptcy remoteness and recharacterisation risk
n
n
Ensure the business is protected on:n
n
fees and engagement risk
n
dependency on third parties
n
n
n
Documentation & Negotiation
n
n
Draft and negotiate:n
n
bespoke transaction structures
n
security / control documentation
n
intercreditor and enforcement frameworks
n
n
Work directly with:n
n
Banks
n
Custodians
n
Issuers
n
External counsel
n

Qualifications
n
n
Admitted legal practitioner (Australia or comparable common law jurisdiction)
n
8–15+ years PQE in:n
n
structured finance
n
banking & finance
n
capital markets or securitisation
n

n
Critical Experience (Must‐Have)

Experience working on non‐standard or bespoke transaction structures

Strong understanding of:n

collateral and security frameworks

custody and control mechanics
