Our business we're looking for an experienced and commercially minded Legal Counsel to support our businesses across Australia and New Zealand.
n
This is more than a traditional in-house legal role. You'll work alongside senior leaders, helping shape commercial outcomes, supporting strategic acquisitions, and ensuring the business continues to grow with confidence. You'll be a trusted advisor who balances legal risk with practical business solutions, enabling our teams to move quickly while protecting the company's interests.

About the Role
n
Reporting to our MD, you'll provide pragmatic legal advice across a diverse range of commercial and corporate matters, supporting multiple business units throughout Australia and New Zealand.
n
A significant part of the role will involve drafting, negotiating, and advising on commercial agreements while also playing a key role in mergers, acquisitions, business integration, governance, and compliance.
n
Key Responsibilities
n
You'll be responsible for:
n
n
- Drafting, reviewing and negotiating a wide range of commercial agreements, including:n n
- Customer sales agreements
n
- Master Services Agreements (MSAs)
n
- Supplier and procurement contracts
n
- Terms and Conditions of Sale
n
- Non-Disclosure Agreements (NDAs)
n
- Settlement agreements
n
- Leasing agreements
n
n
- Developing and maintaining contract templates and improving contract management processes.
n
- Providing practical,
commercially focused legal advice that enables successful business outcomes while managing risk.
n
- Supporting pricing models, rebate structures, incentive programs, and other commercial arrangements.
n
- Leading legal due diligence for acquisitions, identifying commercial, legal, operational, and regulatory risks.
n
- Drafting and negotiating transaction documentation including confidentiality agreements, term sheets, share and asset purchase agreements, transition services agreements, and related documents.
n
- Supporting mergers, acquisitions, divestments, restructures, joint ventures, and strategic growth initiatives across Australia and New Zealand.
n
- Advising on post-acquisition integration, including contract transitions, corporate restructuring, and harmonisation of legal processes.
n
- Working closely with Executive Leadership, Finance, HR, and external advisers throughout transactions.
n
- Providing advice across a broad range of legal areas including consumer law, competition law, privacy, employment law, modern slavery legislation, ethics, IT usage, and corporate governance.
n
- Monitoring legislative developments across Australia and New Zealand and ensuring the business remains informed and compliant.
n
- Supporting governance, compliance, policy development, and legal training initiatives across the Group.
n
- Managing relationships with external legal advisers and overseeing legal budgets relating to strategic transactions.
n
- Driving continuous improvement in legal processes, governance, and contract management systems.
n

About You
n
We're looking for someone who combines strong legal capability with commercial judgement and enjoys being embedded in the business.
n
You'll ideally bring:
n
n
- A current practising certificate (or eligibility to hold one) in Australia.
n
- Significant post-admission experience in commercial law, either in private practice or an in-house environment.
n
- Demonstrated experience negotiating and drafting complex commercial agreements.
n
- Experience supporting mergers and acquisitions, corporate transactions, or business integrations.
n
- Strong knowledge of Australian commercial law, with exposure to New Zealand legal frameworks being highly regarded.
n
- Excellent stakeholder management and communication skills.
n
- The ability to simplify complex legal issues into practical business advice.
n
- A collaborative, hands-on approach with the confidence to influence senior leaders.
n
- Strong organisational skills with the ability to manage multiple priorities in a rapid-paced workplace.
n
