Position Overview

As Company Secretary, you are responsible for the compliance, governance and administration requirements of an AXS listed company for their subsidiaries in Australia.

In this position, you will also provide executive level assistance, management and guidance to senior management, in matters relating to our New Zealand, Fiji and Greek subsidiaries.

Based in our Southbank Head Office, and reporting directly to the Chief Financial Officer, you will also maintain close working relationships with the Board and the Executive Management team, providing advice and guidance on strict ASX requirements.

Key Accountabilities and Responsibilities

As the recent company secretary, you will:

- Be responsible for the preparation of Board and Board committee agendas and calendars, in conjunction with the CFO, CEO and Chairman, including the issuance of Board committee papers in a timely manner.

- Attend and record minutes of Board and Board Committee meetings, preparing and distributing final minutes and following up matters arising

- Provide compliance, governance and administration advice to the Board and senior management as required

- Lead the inaugural implementation of the ESG framework (Environmental, Social, and Governance framework) for the organisation.

- Prepare the Notice of Annual General Meeting (AGM), monitor attendance and administrative support at AGM

- Assistance in the preparation of the Annual Report





- Review compliance and governance requirements including drafting various policies and procedures as required.

- Attend meetings and recording minutes of subsidiary ‘investment in franchise’ companies, whilst providing compliance and governance advice as required.

- Manage the relationship with the share registry, whilst fulfilling compliance requirements in relation to share registry matters and employee share plan management.

- Ensure the overall compliance and successful relationship with the Australian Securities Exchange (ASX) is upheld, by abiding by their strict Listing Rules.

Prerequisites and Experience

In order to be successful in this position, the ideal candidate will possess:

- A degree qualification in finance, law or commerce

- Experience in Corporate, Compliance, Regulatory and Governance matters

- Experience providing corporate or company secretarial services or governance advice to ASX listed entities will be highly regarded

- A legal qualification (advantageous) to assist with commercial contract reviews and assist in drafting of legal documents

- The ability to work with senior leaders and Board members

- Demonstrated experience in working to deadlines

You will also be required to complete a Police Check, returning no criminal history, prior to the commencement of this position.
