We are seeking a commercially focused Legal Counsel to join TerraCom in a key in house role based at our Brisbane City headquarters. This is a Monday to Friday opportunity for a lawyer who enjoys working in a fast paced business workplace, partnering directly with senior leaders and providing practical legal advice that supports sound commercial outcomes.

Reporting to the Chief Executive Officer, you will work closely with the Executive Leadership Team and collaborate across TerraCom’s corporate and operational functions. Your remit will span commercial contracts, corporate matters, regulatory compliance, governance, dispute resolution, insurance and broader legal risk management.

This role is ideal for a capable and pragmatic lawyer who wants meaningful exposure to senior decision makers, varied and challenging work, and the opportunity to influence how legal risk is understood and managed across a growing mining business.

The Opportunity

As Legal Counsel, you will provide timely, commercially minded and cost-effective legal support across TerraCom. You will help the business navigate contractual, corporate and regulatory matters while ensuring legal advice is practical,



proportionate and aligned with operational and strategic priorities.

You will be a trusted adviser to management, helping teams identify risk early, structure commercial arrangements effectively and make informed decisions. The role calls for strong judgement, confident communication, excellent drafting capability and the ability to build credibility across both corporate and operational environments.

Responsibilities of the Role

- Provide transparent and commercially focused legal advice across contracts, corporate matters, operations, regulatory compliance, governance and dispute resolution.
- Draft, review and negotiate commercial agreements, contracts and other legal documents that support TerraCom’s business relationships and strategic objectives.
- Partner with operational and corporate teams to resolve contractual issues, manage legal risk and implement practical best practice approaches.
- Advise management on contract interpretation, rights, obligations, commercial exposure and appropriate risk mitigation strategies.
- Manage disputes and litigation matters, including briefing and working effectively with external legal counsel when specialist support is required.
- Support the administration of company insurance arrangements, including claims identification, legal advice and coordination of relevant stakeholders.
- Develop and maintain legal, contract management, compliance and governance policies and procedures aligned with business requirements and industry practice.
- Coach and support management and operational teams to strengthen legal and contractual awareness and improve commercial decision making.
- Manage and administer company compliance obligations through TerraCom’s designated compliance and governance systems.
- Prepare and deliver practical compliance and legal awareness training to employees and leaders across the business.
- Monitor relevant legal and regulatory developments and advise the business on emerging obligations, risks and required actions.
- Build strong working relationships with executives, operational leaders and external advisers to ensure legal support is responsive, pragmatic and outcome focused.





About You You are a commercially astute lawyer who combines strong legal capability with practical business judgement. You are comfortable working independently, managing competing priorities and communicating confidently with senior leaders while remaining approachable and solutions focused.

You will bring

- A Bachelor of Law or equivalent legal qualification, admission as a legal practitioner in Australia and a current practising certificate.
- Approximately 6 to 8 years of relevant post admission experience gained in a top tier or mid tier commercial law firm, an in house environment, or a combination of both.
- Strong knowledge and demonstrated experience in commercial contracts, corporate law and regulatory compliance.
- Excellent legal drafting, contract review and negotiation skills, with the ability to translate complex legal issues into clear practical advice.
- Strong analytical and problem solving capability, with sound judgement in assessing legal, contractual and commercial risk.
- Excellent written and verbal communication skills, with confidence engaging with executives, managers, operational teams and external advisers.
- The ability to work autonomously while also collaborating effectively as part of a cohesive and commercially focused team.
- A high degree of organisation and the ability to manage competing priorities, deadlines and matters of varying complexity.
- A proactive, pragmatic and solutions focused approach, with robust attention to detail and a commitment to high professional standards.
- Experience within mining, resources, energy, infrastructure or another operationally complex industry will be highly regarded.
