Inland Rail is delivering one of Australia's most significant nation-building infrastructure projects — a 1,600km freight rail line connecting Melbourne and Brisbane and reshaping how goods move across the country.
A government-owned infrastructure delivery company, Inland Rail operates as a wholly owned subsidiary of ARTC, with an independent Board and executive team responsible for delivering the Inland Rail project.
The organisation operates within a complex, highly regulated infrastructure environment, balancing commercial discipline with strong public accountability and an engaged shareholder and stakeholder landscape. This context creates sophisticated governance, assurance and reporting expectations, requiring a mature, pragmatic and contemporary approach to Board governance and decision-making.
Exposure to public sector or government-adjacent governance frameworks is advantageous but not essential. Strong knowledge of the Corporations Act and best Governance principles is essential.
The Opportunity
This is a rare opportunity to step into a Board-appointed Company Secretary role at the heart of a high-profile national infrastructure organisation during a critical phase of delivery.
Reporting directly to the Board Chair, the Company Secretary is a statutory officer responsible for Governance integrity, Board effectiveness and compliance with the Corporations Act. The role operates with independence from management, providing trusted, objective advice to the Board and its Committees, while working closely with the CEO and Executive Leadership Team to uplift governance capability and Board reporting across the organisation.
The role is supported by board administration enabling a strong focus on strategic governance leadership, Board advisory responsibilities and the uplift of governance quality rather than purely transactional secretariat activity.
The Role
As Company Secretary,
you will play a central role in shaping governance outcomes and supporting high-quality decision-making. Your remit will include:
Acting as the primary governance adviser to the Board, Chair and Committee Chairs, with direct access and authority.
Ensuring the effective operation of the Board and its Committees, including agenda governance, meeting processes, minutes and records of decision-making.
Discharging statutory obligations in accordance with the Corporations Act, ASIC requirements and the organisation's constitutional framework.
Working closely with the Executive Leadership Team to uplift the quality, clarity and governance integrity of Board and Committee papers.
Establishing clear expectations for Board reporting, paper structure and decision clarity.
Overseeing governance frameworks, including Board and Committee Charters, Delegations of Authority and governance policies.
Supporting Board capability, induction and evaluation processes.
Acting as a key governance interface with regulators, auditors and external advisers.
About You
You are an experienced Company Secretary with a strong track record operating at Board level within a large, complex, or highly regulated organisation.
Strong, practical expertise in the Corporations Act and its application in a Board environment.
Experience supporting Boards and Committees in complex delivery, transformation or infrastructure contexts.
The confidence and judgement to operate independently while engaging constructively with Chairs, Non-Executive Directors and senior executives.
A pragmatic, commercially minded approach to governance that enables effective decision-making.
