About the team

An opportunity for an experienced company secretary to join a top-talent, dynamic and diverse team at the centre of Australia’s financial markets.

The ASX Group Company Secretariat function supports effective governance for ASX Group’s legal entities (other than the Clearing and Settlement entities) by delivering high-quality Board services, maintaining governance processes, supporting compliance with statutory, regulatory and licence obligations, and enabling clear, timely and effective engagement between directors, management and regulators.

What you will be doing:

Bring your solid passion for corporate governance to a leading in-house team working at the centre of listed company regulation and governance

Deliver high-quality and leading-edge governance practices

Use your strong communication, collaboration and organisational skills to help ASX deliver high-quality Board meetings, papers and other services

Work collaboratively with cross functional teams,



interact directly with Boards and Senior Management across ASX Group and produce high-quality communications

Share your knowledge, skills and experience to lift capabilities across the company secretariat team and the broader business

Continue to develop as a company secretary in an engaging and challenging environment

Develop peer external and internal contacts

Achievement of strong governance outcomes

Contributing to the development of a strong and diverse corporate governance practice, including continuous disclosure and other Listing Rules issues, directors’ duties, conflicts management, executive accountability and remuneration

Ensuring strong processes are in place and operating effectively to ensure full compliance by ASX with its listing rule and statutory obligations

Supporting the Head of Company Secretariat, ASX Group to service ASX’s Boards and Committees capably and proactively, including meetings, workshops, director education programs, and related documentation and communications

Providing company secretarial support to committees, from agenda planning to minute taking and everything in between

Working effectively with all business functions on Board papers and presentations and other collaborative processes

Timely and effective regulatory reporting and engagement across the range of ASX’s statutory obligations and other requirements

Collaborating with colleagues and effective stakeholder engagement Collaborating with internal colleagues to improve and maintain the quality of Board papers and other materials

Reviewing Board and committee papers to support executives and management in providing high quality material for directors

Developing and providing training on preparing board papers

Helping to ensure strong communication between management and Boards to support a “no surprises” approach

Liaising with investors, regulators, professional and industry bodies and others to support on-going constructive two-way relationships

Developing corporate governance resources and bringing new ideas and experiences to ASX’s Company Secretariat team

What you will bring

Must have





Built your skills and reputation in a challenging in-house role

Practiced in corporate governance, developing a thorough knowledge of the Corporations Act and a good practical understanding of corporate governance and the ASX Listing Rules

5 or more years experience with a proven ability to work independently

Strong academic and skilled qualifications

Won the respect and recognition of your peers for integrity and governance excellence

Confidence and capability to work independently, with the judgement to communicate and escalate where needed

Strong ethics and ability to establish a high level of trust

Ability to communicate effectively and appropriately with directors, senior management and staff members

Ability to develop strong internal and external networks

Attention to detail and factual accuracy

Understanding and enjoyment of the contribution and potential of the role

Personal commitment to growth A “team player” attitude: prepared to pitch in to help others and share your knowledge and experience A collaborative and collegiate style, and strong presentational and influencing skills

Nice to have

Experience in regulated Australian listed companies with a strong reputation for governance and compliance A demonstrated commitment to best practice corporate governance through education, industry involvement or otherwise

Experience in financial services or another highly-regulated industry

Dealing with regulators in Australia or overseas
