Associate – Investment Funds / Private Equity
MRA Search is partnering exclusively with Conyers in their search for an ambitious and energetic lawyer to join its growing Investment Funds and Private Equity team, part of our wider Corporate Department, in the Cayman Islands.
What Will You Do
Advise on fund formation across the full spectrum of investment fund strategies including private equity, hedge, venture capital, digital assets and private credit
Advise on high profile and large downstream private M&A; transactions acting on both buy and sell sides
Advise large institutional PE sponsors alongside top tier US and International law firms, gaining direct exposure to the most sophisticated work in the offshore funds / PE market
Advise emerging managers on Cayman Islands fund formation
Guide clients through the full lifecycle of fund matters, from initial structuring and formation through to launch and beyond (including registration and ongoing compliance with the Cayman Islands Monetary Authority (CIMA))
Review offering documents and provide strategic counsel on a wide range of operational, corporate governance, regulatory and compliance matters, developing deep expertise in an area of law that is well established in the Cayman Islands
Draft share purchase, investment and shareholders' agreements
Provide investor side due diligence on proposed investments into Cayman Islands registered funds and target entities




Collaborate closely with partners and senior associates who are committed to your professional development, receiving hands-on mentorship and meaningful feedback
Engage directly with clients and other fund service providers from day one, building strong relationships on a peer to peer level
Contribute to cross-practice matters alongside colleagues in our litigation, fund finance, insurance, regulatory, trusts and governance service departments, broadening your perspective and skill set
Participate in business development initiatives, industry events, and thought leadership opportunities
Contribute to know‐how, client alerts, training and business development initiatives that enhance the firm's reputation and practice, while mentoring more junior team members
What You Will Need
5 - 7 years' relevant PQE, with prior experience practising in a funds and / or M&A; team at a recognised law firm
Admitted, or eligible to be admitted, to the Cayman Islands Bar (this means candidates who are admitted in Cayman, Australia, New Zealand, England & Wales, Scotland, Ireland, Canada, Singapore, Hong Kong, BVI (Eastern Caribbean Supreme Court) or Bermuda).
Strong academics
Excellent technical and drafting skills
Ability to manage competing priorities and deadlines
Ability to work independently and as part of a team
Excellent communication skills
Outgoing personality with an interest in business development
