For over 30 years, the Humpty Dumpty Foundation has been working to buy essential medical equipment for paediatric wards, neonatal units, maternity sections, and emergency departments in hospitals and health services across Australia. Role Purpose -

The Humpty Dumpty Foundation is seeking a passionate and experienced Neonatal or Paediatric Specialist (Doctor, Surgeon, or Senior Nurse) to join our Board as a Non-Executive Director.

This Director will play a vital role in providing overall governance, strategic direction, and financial oversight for the Foundation. Uniquely, this position will serve as a crucial bridge between our Board and front-line healthcare practitioners, bringing direct clinical insights to guide our equipment and special project funding priorities, evaluate health service needs, and serve on the Foundation’s Medical Program Advisory Committee.

** This role can be performed from anywhere across Australia (with virtual options to attend Board and Committee meetings)

Key Responsibilities -

1. Clinical & Medical Advisory (Core Focus)

- Act as a key clinical advocate on the Board, representing the operational realities, equipment needs, and emerging trends and health priorities of neonatal and paediatric care across Australian hospitals.
- Active participation on the Foundation's Medical Program Advisory Committee, reviewing and assessing incoming medical equipment submissions from hospitals to ensure aligned impact and urgency.




- Assist the Board and executive leadership in understanding clinical advancements, paediatric health challenges (particularly in regional and remote Australia), and healthcare practitioner perspectives.

2. Governance & Strategy

- Fulfil the legal and fiduciary duties of a Non-Executive Director in accordance with the Corporations Act 2001 and Australian Charities and Not-for-profits Commission (ACNC) guidelines.
- Participate actively in setting the Foundation’s strategic goals, risk management frameworks, organisational policies, and annual targets.
- Ensure the Foundation maintains highest standards of transparency, integrity, and compliance across all operations and fundraising activities.

3. Advocacy & Ambassadorship

- Serve as a trusted ambassador for the Humpty Dumpty Foundation within the medical and healthcare community.
- Support relationship-building with health districts, hospital executives, clinical department heads and Government officials where appropriate.

4. Innovation, New Projects & Program Development

- Advise on piloting new medical special projects permitted under the Medical Committee’s Charter that extend the Foundation’s impact beyond equipment provision.
- Help identify and evaluate opportunities in emerging areas of paediatric care
- Contribute clinical perspective to strengthening the Foundation’s outcome and impact measurement for funded equipment and special projects, and support connections with relevant medical colleges, professional bodies, and research institutions.

Key Selection Criteria - Essential Experience & Qualifications:

- Clinical Expertise: Current or recent experience as a Registered Nurse,



Medical Practitioner, or Surgeon specialising in Neonatology or Paediatrics within the Australian healthcare system.
- Health System Knowledge: Deep understanding of hospital operations, equipment allocation processes, and the challenges faced by front-line paediatric and neonatal units (metropolitan, regional, and remote).
- Values Alignment: A strong, genuine commitment to improving health outcomes for children and supporting healthcare workers across Australia.

Desirable Criteria:

- Governance Experience: Prior experience as a Non-Executive Director or Committee Member on a Not-For-Profit or healthcare board (GAICD qualification or equivalent governance training is highly regarded).
- Committee Experience: Experience reviewing grants, equipment requests, or clinical safety/ethics submissions.
- Emerging Health Trends: Awareness of, or interest in the development of innovative models of paediatric and neonatal care.
- Program Development: Experience contributing to the design or evaluation of clinical programs and health initiatives beyond direct equipment provision.

Competencies & Attributes:

- High level of integrity, ethical standards, and sound judgment.
- Strong team-oriented skills with the ability to engage constructively with fellow Directors, the CEO, fundraising teams, and external stakeholders.
- Strategic thinker capable of balancing clinical insight with commercial and organisational sustainability.

Time Commitment & Term -

- Board Meetings: Approximately 6–8 Board meetings per year (held in-person in Sydney or virtual).
- Committee Meetings: Attendance at virtual Medical Advisory Committee meetings (typically quarterly or as required for grant/equipment cycles).
- Annual General Meeting (AGM) and occasional fundraising or donor engagement events.
- Term: Initial appointment for a term of 3 years, with eligibility for re-election in accordance with the Foundation’s Constitution.
