About You
You are a seasoned company secretary with a minimum of 10 years' experience, bringing a strong track record from large organisations.
Your Experience & Expertise
Ability to lead a company secretariat function for an organisation's Boards and relevant Committees, ensuring effective governance support, forward planning and high-quality Board operations
Experience maintaining robust Board and Committee governance processes, including agendas, papers, minutes, actions, corporate calendars and governance records
Capable of overseeing attendance at Board and Committee meetings, including the preparation and review of Board and Committee packs, minutes and action records
Experience supporting compliance with relevant statutory, regulatory, licence and governance obligations applicable to an organisation's clearing and settlement entities
Ability to provide trusted company secretariat and governance advice to Board Chairs, Directors, Executives and senior stakeholders
Experience leading or supporting responses to regulatory, inquiry or assurance requests involving the Company Secretariat function
Your Skills & Attributes
Extensive company secretariat, governance or legal experience including senior-level experience supporting Boards and Committees in a listed,



licensed or highly regulated environment
Strong knowledge of corporate governance procedures, Corporations Act requirements, regulatory expectations and Board governance disciplines.
Solid practical understanding of the Corporations Act, ASX Listing Rules, contemporary company secretarial practice and best-practice corporate governance expectations
Ability to operate confidently with Board Chairs, Directors, senior Executives, regulators and cross-functional stakeholders
