Kuruma Marthudunera Limited (KML) is responsible for administering the Kuruma Marthudunera Trusts for the benefit of the Robe River Kuruma People.
KML works closely with the Robe River Kuruma Aboriginal Corporation (RRKAC) to ensure the Trusts deliver sustainable cultural, social and economic outcomes for current and future generations.
The Board provides strategic oversight of the Trusts and is responsible for ensuring the organisation operates with integrity, transparency and sound financial stewardship.
The Role of the Board
The KML Board is responsible for:
Ensuring KML fulfils its obligations under the Trust Deeds, Constitution and contractual agreements.
Making recommendations to the Trustee regarding the achievement of the Trust Objects.
Working collaboratively with the Robe River Kuruma Aboriginal Corporation (RRKAC) to support the aspirations of the Robe River Kuruma People.
Providing funding to RRKAC in accordance with the Trust arrangements.
Protecting and growing the Future Fund through prudent investment governance and long-term financial stewardship.
Overseeing the performance of external service providers, including investment advisers, custodians, accountants and other qualified advisers.
Monitoring contributor compliance with financial obligations under the relevant agreements.
Overseeing the fair and transparent distribution of Trust benefits to eligible Robe River Kuruma People.
Promoting sound governance, effective risk management and accountability across the organisation.
The Independent Director Role
The Independent Director provides an independent perspective to the Board and contributes specialist governance and financial expertise to support effective decision-making.
The successful applicant will:
Provide independent leadership, strategic advice and objective oversight.
Promote the highest standards of corporate governance, accountability and ethical decision-making.
Review and oversee the financial performance of the Trusts, including investment reports, financial statements, budgets and audit outcomes.
Monitor organisational risk and contribute to effective risk management practices.
Support the Board in meeting its fiduciary obligations under the Trust Deeds and applicable legislation.
Promote constructive relationships between the Board, RRKAC, professional advisers and other stakeholders.
Attend and actively participate in all Board meetings and relevant community meetings.
Undertake cultural awareness and cross-cultural training as required.
Selection Criteria
Applicants must demonstrate the following:
Essential
Independence and the ability to exercise objective judgement in the best interests of KML.
Minimum three years' experience as a Director, Non-Executive Director, senior executive or in a professional financial, governance or business leadership role.
Demonstrated financial literacy, including the ability to interpret financial statements, investment reports, budgets and audit reports.
Experience in corporate governance, fiduciary oversight and strategic decision-making.
Leadership experience with a proven ability to work collaboratively and respectfully with Boards and diverse stakeholders.
A strong understanding of directors' duties, governance principles and ethical leadership.
Excellent communication, analytical and decision-making skills.
Completion of the Australian Institute of Company Directors (AICD)
course or equivalent governance qualification, or a willingness to complete such training within the first 12 months of appointment.
Capacity to commit sufficient time to fulfil the responsibilities of the role.
High professional standing with demonstrated integrity and sound judgement.
Applicants must also:
Be eligible to act as a Director under the Corporations Act **** (Cth) and any other applicable legislation.
Not be disqualified from managing corporations under the Corporations Act, the CATSI Act or any other applicable law.
Have no criminal convictions other than minor traffic or similar offences.
Have no actual, perceived or potential conflicts of interest that would prevent them from acting independently.
Desirable
Preference will be given to applicants with experience in one or more of the following:
Governance of charitable trusts, Aboriginal corporations or not-for-profit organisations.
Investment governance and oversight of significant investment portfolios.
Audit, accounting, finance or commercial management.
Risk management and assurance.
Working with Aboriginal organisations and communities.
Trustee governance and administration.
Cultural awareness and an appreciation of Aboriginal governance and decision-making frameworks.
Director Commitment
The appointment is for a three-year term.
The Board generally meets quarterly, with meetings typically held in Perth, Karratha or Pannawonica, Western Australia.
Directors are also expected to attend strategic planning sessions, community meetings and Board committee meetings as required.
