About the role
Flagship Pioneering is seeking a Senior Counsel to join its dynamic Legal Transactions team. This role is crucial in providing legal expertise and support to various teams, including Business Development, Corporate Development, and Pioneering Medicines. The selected candidate will be responsible for managing intricate pharmaceutical licensing and collaboration agreements while also overseeing the work of external legal counsel.

What you'll do
Serve as the main legal advisor for strategic transactions within the Flagship ecosystem, which encompasses partnerships, licensing agreements, and mergers and acquisitions.
Collaborate with diverse teams to create agreements that are in line with the organization's innovation strategy and overall business objectives.
Provide legal guidance on a variety of corporate transactions, including complex financing arrangements and restructuring efforts.
Keep abreast of industry trends and legal changes that impact pharmaceutical collaborations and biotech transactions.
Develop and implement best practices and standardized templates to streamline legal processes.
Oversee external law firms during negotiations and complex deal structures, ensuring effective management of legal costs.
Counsel internal stakeholders on legal interpretations, compliance issues, and risk management strategies.
Facilitate training sessions for internal teams on legal matters relevant to their operations and transactions.
Draft and review a wide range of legal documents, ensuring clarity and compliance with applicable laws and regulations.




Engage in continuous improvement initiatives to enhance the efficiency and effectiveness of the legal function within the organization.
Participate in cross-functional meetings to provide legal insights that support strategic decision-making.
Build and maintain strong relationships with internal and external stakeholders to foster collaboration and trust.
Requirements
Juris Doctor (J.D.) degree from an accredited law school; must hold a valid license to practice law in the United States.
At least 8 years of experience in handling complex transactions in the life sciences sector, preferably with a background in prestigious law firms; experience in-house is a plus.
In-depth understanding of pharmaceutical collaborations, licensing agreements, and significant transactions; familiarity with mergers and acquisitions is beneficial.
Proven track record of leading negotiations for high-stakes deals within the biotech or pharmaceutical industries.
Excellent communication, leadership, and analytical skills, with the ability to advise senior executives and influence strategic business decisions.
Strong organizational skills and attention to detail, with the ability to manage multiple projects simultaneously.
Nice to have
Experience working in a fast-paced startup setting or with emerging biotech companies.
Familiarity with intellectual property law as it pertains to life sciences and biotechnology.




Previous experience in a corporate legal department or as part of a legal team supporting business development activities.
Knowledge of regulatory requirements impacting pharmaceutical collaborations and transactions.
Multilingual capabilities can be an asset in a global business environment.
Skills & tools
Proficiency in legal research tools and contract management software.
Strong negotiation skills and the ability to navigate complex legal issues effectively.
Familiarity with compliance and regulatory frameworks relevant to the pharmaceutical industry.
Ability to analyze and interpret legal documents and agreements critically.
Competence in using Microsoft Office Suite and other productivity tools.

The salary for this position ranges from $204,000 to $346,000, with compensation determined by various factors, including the candidate's qualifications and experience.
