This is an excellent opportunity for a lawyer who has developed a solid foundation in commercial law and is ready to take greater ownership of matters, work directly with business owners and senior decision-makers, and advance their career within a specialist and expanding legal practice.
The successful candidate will have experience in commercial transactions, ideally including franchising, business sales, corporate structuring, commercial agreements and related advisory work. You will be confident in managing matters with a high degree of autonomy while knowing when to seek guidance on complex or strategic issues.
About Franchise Legal Partners
Franchise Legal Partners is a specialist commercial and franchising law practice acting for franchisors, franchisees, business owners and growing enterprises throughout Australia. Franchise Legal Partners operates alongside Pennisi Zia Lawyers under an incorporated legal practice owned by Australian Legal Partners Pty Ltd.
We advise clients across the full business and franchise lifecycle, including establishing and expanding franchise systems, preparing franchise documentation, business and asset sales, corporate structuring, commercial contracts, regulatory compliance, dispute management and strategic commercial advice.
Our practice is commercially focused, practical and outcome driven. We work closely with our clients to understand their businesses and provide advice that is clear, responsive and commercially useful.
As our practice continues to grow, we are looking for a lawyer who wants to become a trusted adviser to clients and play an important role in the continued development of the firm.
The Role
You will work across a diverse portfolio of franchising and commercial matters, with direct access to the firm’s Legal Practitioner Director and regular contact with clients.
Your responsibilities will include
- Preparing, reviewing and negotiating franchise agreements, disclosure documents and ancillary franchise documentation.
- Advising franchisors and franchisees on their rights and obligations under the Franchising Code of Conduct.
- Assisting clients with the establishment, expansion and restructuring of franchise systems.
- Preparing and reviewing business sale agreements, asset sale agreements and share sale agreements.
- Managing commercial transactions from initial instructions through to completion.
- Conducting legal due diligence in connection with business acquisitions, franchise transactions and corporate restructures.
- Preparing and negotiating shareholders agreements, unitholders agreements, partnership agreements and joint venture agreements.
- Drafting and reviewing supply agreements, licence agreements, distribution agreements, service agreements, confidentiality agreements and other commercial contracts.
- Advising on corporate and business structures, including companies, trusts and related entities.
- Assisting clients with franchise renewals, transfers, variations, terminations and exits.
- Preparing breach notices, default correspondence and other commercial communications.
- Providing practical advice regarding commercial disputes and pre-litigation strategy.
- Liaising with clients, accountants, brokers, financial advisers, landlords, other solicitors and relevant third parties.
- Managing your own files, priorities, deadlines and client communications.
- Supporting the development of junior team members as the practice grows.
- Contributing to firm precedents, knowledge management, client alerts and business development initiatives.
About You You will be a capable and commercially astute lawyer who enjoys working directly with business owners and solving practical legal problems.
The ideal candidate will have:
- Approximately 2–4 years’ post-admission experience in commercial law, corporate advisory, franchising or business transactions.
- Admission as a solicitor of the Supreme Court of Queensland and a current practising certificate, or eligibility to obtain one.
- Experience preparing, reviewing and negotiating commercial agreements.
- Experience managing business sale, asset sale or share sale transactions.
- Exposure to franchising law and the Franchising Code of Conduct, or a strong interest in developing specialist expertise in franchising.
- The ability to manage matters autonomously and take responsibility for progressing files.
- Strong drafting, negotiation and legal research skills.
- A practical and commercially focused approach to legal advice.
- Excellent attention to detail and the ability to identify legal and commercial risks.
- Solid organisational skills and the ability to manage competing deadlines.
- Confidence communicating directly with clients and other professional advisers.
- The ability to explain complex legal concepts in clear and straightforward language.
- A proactive attitude and willingness to contribute beyond the immediate requirements of a file.
- A genuine desire to develop their career and grow with the firm.
Experience acting for franchisors, franchisees, hospitality businesses, retail businesses or other multi-site businesses will be highly regarded but is not essential.
