PX Resources is partnering with a boutique financial services business.
This is a newly created role supporting the CEO, COO and senior leaders to maintain the corporate governance and company secretarial function for the group. The candidate will confidently advise senior stakeholders, improve governance practice and also take responsibility for agendas, papers, minutes, registers, etc.
This is great for an experienced skilled looking for genuine ownership and to work in a part-time capacity.
Key responsibilities will include
- Maintaining corporate and Board governance frameworks
- Acting as a trusted adviser to the Board, Chair and Executive on governance, fiduciary duties and sound decision making
- Coordinating Board and Committee meeting cycles including annual calendars and schedules
- Preparing, reviewing and distributing agendas, papers and briefing materials, attending Board and Committee meetings, recording accurate minutes and tracking following up on actions
- Providing governance insight, advice and clear reporting to enable well-informed decisions
- Owning relevant Board policies, Committee Charters, delegations and governance procedures
- Maintaining statutory registers, corporate records and minute books
- Preparing and lodging ASIC and company secretarial filings
- Coordinating director induction, governance education and professional development
- Engaging with external Law firm regarding legal activities
Candidate Profile
This is a senior position owning, managing, improving and advising on corporate governance and company secretarial activities. You will be engaging with the Board Chair, Board, CEO, COO and Executive Leadership Team.
The ideal candidate will have
- Qualified lawyer, Governance Institute of Australia (GIA) qualification or equivalent governance credential
- Prior experience as a corporate lawyer, corporate governance or company secretary
- Strong knowledge of the Corporations Act, ASIC requirements and relevant governance frameworks.
- Experience advising and supporting Boards and Committees including agenda preparation, minute taking and governance reporting
- Excellent communicator with the confidence to engage with senior leaders
