Senior Company Secretary – ASX 200 Property and Funds Manager
This is an exciting chance to join a leading ASX 200 Property and Funds Manager as Senior Company Secretary, reporting into the Head of Legal. Working within a well‑established, collaborative team of high performers, you will be responsible for the main listed Board as well as a portfolio of subsidiary entities. Supported by an Assistant Company Secretary and Board Administrator, you’ll play a key role in delivering best‑practice governance across complex corporate and fund structures.
Responsibilities
Ensure productive governance of the main listed Board and its subsidiaries, covering Boards and Committees.
Manage Board meetings and subcommittees, including agenda preparation, electronic Board papers, and timely delivery.
Attend and minuting Board and Committee meetings.
Maintain statutory registers for all entities, including annual solvency resolutions and notifications.
Keep systems updated for company records and regulatory lodgements.
Ensure financial accounts are approved and lodged with ASX/ASIC within the prescribed period.
Establish new subsidiaries and trusts, maintaining relevant statutory registers.
Assist in preparing annual directors’ declarations and corporate governance statements.
Prepare ASX announcements in collaboration with the Head of Investor Relations and Company Secretary.
Assist in identifying and managing conflicts of interest.
Qualifications
Minimum 10 years’ practical company secretarial experience.
Solid knowledge of listed entity governance frameworks and fund/trust structures.
Highly organised, detail‑oriented and comfortable managing competing priorities.
Excellent communication skills with the ability to engage confidently with senior stakeholders.
Proficiency with Diligent Boards and Entities (or similar platforms).
