The Associate Director is a senior leadership position within Cloverleaf Impact Capital. “Cloverleaf” is a niche financial advisor and asset manager who has experienced exceptional growth thanks to our success to date and a significant pipeline in the Housing Australia Future Fund. This role requires an experienced finance professional with significant expertise in project finance, experience with finance documentation, highly numerative, has attention to detail and good communication skills. The successful candidate will work directly with the Managing Director across the full transaction lifecycle — from origination and structuring through to financial close — managing team members and leading and/or playing a key role across Cloverleaf’s existing and new projects.

This will include junior team management, quality control of financial analysis for clients, transaction execution and financial structuring, origination and stakeholder relationship management, as further explained below.

Second in Command

The role is intended to evolve into a genuine second‑in‑command position over time, with progressively broader responsibility across transaction leadership, team leadership, strategic growth and platform development. If you are at the Manager rather than Associate Director level, then we expect you to show the maturity of an AD so we can promote you to take on these responsibilities.

This is not solely an execution role. In addition to leading complex transactions across Cloverleaf’s existing business lines, the Associate Director will also:

- work closely with the Managing Director to shape the firm’s strategic growth and diversify the business into additional adjacent verticals of revenue beyond social and affordable housing;
- help deepen institutional relationships with funders and client relationships with Community Housing Providers;
- contribute or lead the origination of new projects, transaction leadership of bids, lead commercial strategy and financial structuring of projects, be responsible for quality assurance and manage or help manage the deal team.

Over time, the expectation is that the Associate Director becomes a trusted strategic partner to the Managing Director and a key leader of the business, including responsibility for helping scale the business, building out the team’s capability, and supporting the transition to a broader and more diversified specialist impact investing and structured finance platform.

KEY RESPONSIBILITIES

Transaction Execution & Financial Structuring

- Lead end‑to‑end execution of Cloverleaf’s social and affordable housing projects, including bid strategy, commercial negotiation, and financial close.
- Oversee the development, review, and sensitivity analysis of the financial model and capital structure optimisation. This will include responsibility for quality assurance of the financial model.
- Structure and arrange senior and mezzanine debt from lenders; negotiate risk allocation, capital structure enhancements and term sheets, chaperone the lender through their credit and investment approvals and financing documentation.
- Lead negotiations with government counterparties, builder, the Community Housing Provider and debt investors.
- Drive the preparation of feasibility assessment, term sheets, investment committee papers, commercial assessments, information memorandums, and other supporting transaction / finance documentation.
- Coordinate due diligence workstreams including valuation, property and financial, ensuring alignment with commercial objectives and risk allocation.
- Lead and work with the team to identify and implement value‑enhancement and risk mitigation strategies and problem solve as required.
- Origination, Stakeholder Relationships, Strategic Growth & Platform Development when you’re ready.
- Support early‑stage origination and pipeline development, including market screening, opportunity assessment, CHP selection / consortium formation (if required), engage with government bodies, community housing providers and developers across Cloverleaf’s core and adjacent sectors.
- Work with the Managing Director to identify, evaluate and develop additional strategic growth verticals beyond the current community housing focus.
- Help define and execute a ‘second engine’ for the business, which may include adjacent structured capital, development capital, project finance, impact infrastructure, energy transition or other specialist strategies aligned with Cloverleaf’s mandate and capabilities.
- Contribute to the design of new products, capital solutions, mandates, partnerships and recurring revenue opportunities that broaden Cloverleaf’s platform and increase enterprise value.

Capital Partner, Client & Stakeholder Responsibilities

- Build and deepen trusted relationships with institutional capital partners, lenders, debt investors, fund managers, developers, Community Housing Providers and relevant government stakeholders.
- Manage client and internal expectations to ensure Cloverleaf’s brand is associated with responsiveness and high‑quality execution.
- Represent Cloverleaf credibly with external stakeholders and help expand the firm’s market profile, reputation and pipeline.
- Contribute to the development of long‑term institutional capital relationships and support future capital formation initiatives as the platform expands.
- Support fundraising, capital partner dialogue,



investor reporting and the development of long‑term strategic capital relationships as relevant.
- Act as a senior commercial sounding board to the Managing Director on key client, investor and counterparty matters.
- Assist in the financial management and monitoring of the existing mezzanine debt portfolio (investments) administered on behalf of a third‑party investor/s.
- Help shape the future operating model for portfolio and asset management as the platform grows.

Team Leadership & Internal Development

- Assist in day‑to‑day management of the Analyst(s) and Associate(s) assuming full line management responsibility following successful completion of the probation period. In relation to this, the Associate Director will be organised to help with the Team’s efficiency, planning and communicating how the analysis / materials will be delivered in a meaningful form.
- Mentor junior team members, review and review analytical work, and promote best practice in transaction execution.
- Proactively identify and elevate issues on transactions or within the portfolio and proactively problem solve with the team to help drive a resolution.
- Progressively assume broader management and operational responsibilities consistent with a 2IC role, including helping coordinate priorities, resource allocation and execution standards across the platform.
- Help recruit, develop and retain high‑calibre team members as the business scales.
- Consistently demonstrate Cloverleaf’s values (Proactive, Doers, Team Players, Honesty, Curious, Communicators and Professionalism) to help set the standard for Cloverleaf’s team and build a high performing culture.

KEY REQUIREMENTS

Experience

- Minimum 10 years’ commercial experience including min. 7 years in structured finance, project finance, infrastructure investment, investment banking or a similar discipline.
- Demonstrated track record of executing complex debt financing transactions from origination through to financial close.
- Exposure to social infrastructure and/or affordable housing will be highly regarded.
- Prior experience in a principal investment, funds management, and/or financial advisory role with direct client‑facing responsibility is valued.

Technical Skills

- Deep financial modelling capability, highly numerate, with attention to detail and the ability to interrogate and quality‑assure financial models and analysis.
- Strong understanding of debt structuring, credit analysis, debt sizing and covenant mechanics and payment waterfall structures, and typical risk allocation.
- Strong written and verbal communication skills for investment papers, term sheets, information memorandums, and client‑facing materials.

Personal Attributes

- Highly self‑motivated and capable of operating with significant autonomy.
- Equally comfortable leading a deal team, client negotiations and rolling up their sleeves on detailed analytical or financial documentation tasks.
- Strong interpersonal skills with the ability to build trust with senior stakeholders across government, finance, and the community housing sector.
- Demonstrates integrity, sound commercial judgement, is proactive and a genuine commitment to Cloverleaf’s values.
- Tertiary qualifications in finance, economics, commerce, or a related discipline; postgraduate qualifications (CFA, MBA, or equivalent) advantageous.
