About You
You are a seasoned company secretary with a minimum of 10 years' experience, bringing a strong track record from large organisations.
Your Experience & Expertise:
- Ability to lead a company secretariat function for an organisation's Boards and relevant Committees, ensuring effective governance support, forward planning and high-quality Board operations
- Experience maintaining robust Board and Committee governance processes, including agendas, papers, minutes, actions, corporate calendars and governance records
- Capable of overseeing attendance at Board and Committee meetings, including the preparation and review of Board and Committee packs, minutes and action records
- Experience supporting compliance with relevant statutory, regulatory, licence and governance obligations applicable to an organisation's clearing and settlement entities
- Ability to provide trusted company secretariat and governance advice to Board Chairs, Directors, Executives and senior stakeholders
- Experience leading or supporting responses to regulatory, inquiry or assurance requests involving the Company Secretariat function
Your Skills & Attributes:
- Extensive company secretariat, governance or legal experience including senior-level experience supporting Boards and Committees in a listed, licensed or highly regulated environment
- Strong knowledge of corporate governance procedures, Corporations Act requirements, regulatory expectations and Board governance disciplines.
- Strong practical understanding of the Corporations Act, ASX Listing Rules, contemporary company secretarial practice and best-practice corporate governance expectations
- Ability to operate confidently with Board Chairs, Directors, senior Executives, regulators and cross-functional stakeholders
