Murray River Region Tourism Ltd (trading as Murray River Regional Tourism) is the peak tourism organisation responsible for leading the sustainable development and growth of the visitor economy across the Murray River region.

We are a member-based company limited by guarantee. Our region spans 13 local government areas in Victoria and New South Wales from Albury to Mildura, and our organisation is funded through a strategic partnership between Local Government, the Victorian Government, Destination NSW, and the regional tourism industry.

We operate under a governance structure established by our Constitution (2025).

Murray River Regional Tourism ("MRT") is in its final year of delivering its Strategic Plan and is well advanced finalising the Strategic Plan. These plans form the blueprint for the ongoing growth and sustainability of the $3bn Murray River region visitor economy. They align with Murray River Regional Tourism’s overarching Destination Management Plan, a strategy which is also due to be revised.

The Board

The MRT Board comprises an independent Chair, Skills Based Non-Executive Directors ("Skills Based Directors"), and Local Government Area Appointed Directors.

The Board is responsible for:

- Setting the strategic direction and priorities of the organisation
- Overseeing the implementation of the Strategic Plan and Murray River Region Destination Management Plan
- Approving the annual budget and financial reports
- Establishing Board policy, governance, and risk frameworks
- Monitoring performance against operational and strategic goals
- Supporting the Chief Executive Officer while constructively challenging as needed
- Ensuring legal compliance under the Corporations Act 2001 and MRT’s Constitution





The Finance, Audit and Risk Management Committee and the Governance Committee support the Board’s decision‑making processes.

Position Objective

As a member of the Board, each Director is expected to play a pivotal role in shaping MRT’s strategic direction, engaging in thoughtful discussion and decision making, ensuring robust governance, and promoting sustainable growth of the visitor economy in the Murray region.

Each Director provides leadership, independent insight, and professional expertise to guide MRT’s strategy, risk oversight, stakeholder engagement, and regulatory compliance.

Victorian‑based Local Government Area Appointed Directors have the additional responsibility of regularly reporting back to Murray River Group of Councils, and NSW‑based Local Government Area Appointed Directors, RAMJO, non‑confidential board decisions, strategic direction, and planning outcomes.

Key Selection Criteria for Skills Based Directors

MRT Skills Based Directors are required to have non‑executive director or senior executive experience and formal qualifications in governance through the Australian Institution of Company Directors, or similar.

In addition, MRT Skills Based Directors must demonstrate:

- Strategic thinking and the ability to analyse complex issues




- Willingness and ability to contribute to high‑quality board discussions, including constructive challenge and inquiry
- Commitment to good governance, ethical conduct, and continuous board improvement
- Deep understanding of the visitor economy, regional development, or a related field
- Willingness to embrace a culture of continuous improvement
- A commitment to meet the legal requirements of a Company Director under the Corporations Act 2001, including:

- Complying with the fiduciary duties of being a director
- Acting with care and diligence
- Acting in good faith in the best interests of MRT
- Disclosing and managing conflicts of interest

Skills Based Directors must also hold a Director Identification Number (Director ID) and pass a National Police Check prior to their appointment.

Terms of Appointment

Initial appointment is for three years, with eligibility for reappointment per the MRT Constitution.

Skills Based Directors are appointed based on skills, not sector or geographic representation.

Positions are voluntary. Out‑of‑pocket expenses (e.g. travel) will be reimbursed.

The Board meets every two months. Meeting formats include in‑region, online and hybrid. Committees meet as required.

Skills Based Directors are expected to devote sufficient time to Board meetings, briefings, and if applicable, Committee participation.
