About You
You are a seasoned company secretary/legal counsel with a minimum of 5 years' experience, bringing a strong track record from private practice or in-house roles within large organisations.
Your Experience & Expertise:
- Ability to deliver legal advice and company secretarial support to the organisation's Boards and Committees including meeting preparation, agenda planning, minute taking and related documentation
- Experience supporting a Company Secretary to service an organisation's Boards and Committees including meetings, workshops, director education programmes, and communications
- Experience contributing to continuous disclosure obligations, Listing Rules compliance, Directors' duties, conflicts management, Executive accountability and remuneration matters
- Ability to ensure strong processes are in place for full compliance with an organisation's listing rule and statutory obligations
- Ability to review and collaborate on Board and Committee papers, presentations and other materials to maintain quality standards
- Confident engaging with regulatory agencies and producing high-quality communications and submissions
- Confident liaising with investors, regulators, qualified and industry bodies to support constructive relationships
Your Skills & Attributes:
- Training at a leading law firm with substantial experience in company law, corporate governance, M&A; or equivalent practice areas and a thorough knowledge of the Corporations Act and the ASX Listing Rules
- The ability to work independently, as required
- Confidence and judgement to engage directly with Directors, senior management and staff, with the ability to escalate matters appropriately
- Strong communication, collaboration and organisational skills
- Experience in regulated Australian listed companies with a strong reputation for governance and compliance would be highly regarded
- Experience in financial services or another highly-regulated industry including dealings with regulators, is desirable
- Confident working across the Company Secretarial and Legal functions of an organisation, with close liaison with Group Directors and senior Executive team
