We are looking for an Associate or Senior Associate (3–6 PQE) tojoin our Sydney Corporate team.

This is an opportunity to work with one of Australia's leadingprivate capital practices, advising private equity sponsors,venture capital investors, founders, institutional investors andcorporates on complex domestic and cross-border transactions. Theteam regularly works alongside leading international law firms andadvisers on multi-jurisdictional deals, providing exposure toglobal investors, overseas counterparties and sophisticatedcross-border transactions. The team is recognised for itsmarket-leading work across private equity, M&A;, venture capitaland strategic investments.

You will work closely with highly regarded partners onsophisticated transactions from inception to completion, gainingexposure to all stages of the deal lifecycle, includingstructuring, due diligence, negotiation, execution andpost‑completion integration.

Your responsibilities will include:

- Advising on private and public M&A; transactions,private equity investments, venture capital financings, capitalraisings and corporate restructures.
- Drafting and negotiating transaction documents, includingshare sale and purchase agreements, investment agreements andshareholders' agreements.
- Managing legal due diligence processes and preparing duediligence reports.
- Coordinating specialist advisers and transactionworkstreams.
- Supporting transaction execution, including signings andcompletions.
- Conducting legal and regulatory research and providingcommercially focused advice.
- Building strong client relationships while working directlywith partners on significant matters.

Depending on your experience, you will take increasingresponsibility for managing workstreams, mentoring junior lawyersand maintaining direct client contact.

The team offers genuine responsibility, close partner access andhands‑on involvement in high‑profile domestic and cross-bordertransactions,



providing an outstanding platform to develop yourtechnical expertise, commercial judgment and client management skills.

About You

You will have strong corporate transactional experience gainedin a leading law firm, with exposure to M&A;, private equity,venture capital, equity capital markets or broader corporateadvisory work.

You will be:
