We are partnering with a global investor and developer to recruit a Senior Legal Counsel for its established Banking & Finance team in Sydney.

The successful candidate will join a high-calibre, fast-paced legal team and provide advice on a wide range of financing and capital markets transactions. You’ll gain broad and immediate exposure to complex, market-leading deals across.

You will be supported by top-tier external counsel while developing your expertise across project finance, corporate debt, capital markets, and infrastructure funding.

What you’ll do:

- Provide specialist banking and finance legal advice on debt and equity capital raising, project financing, and structured finance transactions to support the businesses large-scale developments and expansion across North America, Australia, APAC, and EU markets.
- Draft, review, and negotiate complex financing documents, including credit facilities, security and inter-creditor agreements, equipment financing, power purchase agreements (PPAs), and hedging arrangements related to renewable energy and data center infrastructure projects.
- Lead legal aspects of cross-border capital markets activities, including NASDAQ equity offerings, debt issuances, and other funding mechanisms, while ensuring compliance with Australian (ASIC), U.S. (SEC), Canadian, APAC, and EU regulatory requirements.




- Advise on financial regulatory compliance and risk management across multiple jurisdictions, covering banking relationships, counterparty risk, anti-money laundering (AML), sanctions, and financial crime obligations relevant to cryptocurrency mining, energy trading, and AI cloud services.
- Support M&A;, joint ventures, and infrastructure transactions, including site acquisitions, grid connections, renewable energy projects, and strategic partnerships with hyperscalers, utilities, and technology providers in the data center and digital infrastructure sector.
- Manage banking and lender relationships , including day-to-day interactions with financial institutions, covenant compliance monitoring, waivers, amendments, and dispute resolution arising from financing arrangements for data center construction and operations.

This is a highly visible position for someone who enjoys being hands on and having commercial influence on billion-dollar projects.

About you:

- 7+ years’ PQE in banking & finance (top-tier firm experience highly regarded)
- Robust background in Capital Markets would be advantageous
- Excellent drafting and negotiation skills with strong commercial judgement
- Pragmatic, confident, and comfortable advising senior stakeholders
