Deputy Company Secretary

As we continue to advance this nationally significant project, we are seeking a strategic and solutions-focused Deputy Company Secretary to support and strengthen the integrity, operation, and continuous improvement of our Company Secretariat function.

This role presents an exciting opportunity for an experienced governance professional who thrives on ensuring robust corporate governance, statutory compliance and high-quality decision support are embedded into decision-making at all levels.

Your Role

As Deputy Company Secretary, you will play a critical senior leadership role in supporting the General Counsel & Company Secretary and ensuring the effective day-to-day operation of Marinus Link’s company secretariat. You will oversee governance processes, statutory obligations, and board and committee administration, providing confidence that the organisation meets all corporate, shareholder and regulatory requirements.

You will act as a trusted delegate of the Company Secretary when required, ensuring continuity of governance leadership and statutory compliance across the organisation. In doing so, you will provide clear, pragmatic governance advice to executives, board members, and project leaders within a major government-owned infrastructure environment.

Key Responsibilities:

• Company Secretariat Operations & Compliance – Oversee the effective functioning of the company secretariat, including board and committee processes, statutory registers, ASIC lodgements, corporate records and governance documentation.

• Board & Committee Support – Coordinate high-quality board and committee cycles, ensuring agendas, papers, minutes, and actions are accurate, timely, and decision-ready.





• Governance Frameworks & Assurance – Support the maintenance and continuous improvement of governance frameworks, delegations, policies and assurance processes.

• Statutory & Regulatory Compliance – Ensure compliance with the Corporations Act, constitution, shareholder agreements and other relevant legislative obligations.

• Risk & Governance Advice – Provide expert, risk-based governance advice to executives and project leaders to support sound decision-making.

• Stakeholder & Adviser Management – Manage relationships with external governance providers, auditors, regulators and board support service providers.

• Continuous Improvement & Culture – Drive improvements in governance practices, documentation quality and organisational governance capability, while modelling the highest standards of integrity and professionalism.

You’ll Need

You are a highly capable and detail-oriented governance professional who excels in managing complexity, influencing senior stakeholders, and ensuring high standards of corporate integrity. You thrive in regulated, fast-paced environments and bring a strong sense of accountability and judgement.

You’ll bring:

• Company Secretarial Expertise – Significant experience in a company secretariat or senior governance role within a complex, regulated or government-owned organisation

• Governance & Compliance Knowledge – Deep understanding of corporate governance frameworks, statutory obligations and board processes

• Stakeholder Influence – Proven ability to work effectively with executives, boards, and regulators, exercising discretion and sound judgement

• Technical Capability – Strong ability to manage corporate records, governance systems, and compliance frameworks

• Commercial & Risk Acumen – Ability to assess governance risks and provide pragmatic, solutions-focused advice

• Leadership & Professionalism – High levels of integrity,



discretion, and professionalism, with experience managing third-party governance providers

• Communication & Relationship Skills – Strong written and verbal communication skills, with the ability to build trust and influence across senior stakeholders
