This is an exciting opportunity to be part of Perpetual Corporate Trust (PCT). Reporting to the Senior Disclosure and Fund Compliance Manager, you’ll be at the centre of delivering superior governance, project leadership, and client service. You’ll partner with the Responsible Entity (RE) Services Team to manage scheme changes including but not limited to listings and delistings, current share classes, service provider transitions, scheme terminations, and updates to benchmarks, investment objectives, and strategies, capital raises, fund restructures, change in scheme auditors etc
Key Responsibilities
Scheme Amendment Governance & Delivery
- Deliver high‑quality, compliant scheme amendments and transactions across managed investment schemes in line with the Corporations Act, ASIC guidance, scheme constitutions, and Responsible Entity obligations
- Assess, scope, and execute a wide range of scheme changes including investment strategy changes, fee changes, service provider transitions, new classes, delistings/listings, and scheme terminations
- Facilitate end‑to‑end change management for scheme amendments, ensuring delivery within agreed timeframes, scope, and quality constraints
Regulatory & Compliance Oversight
- Ensure all scheme amendments are implemented in compliance with applicable legislation, regulatory requirements, trust documentation, internal policies, and industry standards
- Identify, assess, and manage regulatory, operational, and investor risks associated with scheme amendments, including conflicts of interest and best‑interest considerations
- Promote a strong risk and compliance culture across scheme amendment activity, consistent with Responsible Entity governance frameworks
Board & Committee Engagement
- Prepare high‑quality board and committee papers that clearly articulate the rationale for proposed amendments, investor impacts, regulatory considerations, and best‑interest outcomes
- Coordinate and manage board and committee approval processes for scheme amendments, including responding to technical queries and conditions
Legal & Documentation Management
- Review,
negotiate, and settle legal and financial documentation required to implement scheme amendments, including constitutions, amending deeds, service provider agreements, and ancillary documents
- Review and contribute to the preparation Significant Event Notices to investors
- Oversee the accuracy and completeness of documentation changes arising from scheme amendments and ensure appropriate version control and approvals
Stakeholder & Client Management
- Manage complex internal and external stakeholder relationships throughout the scheme amendment lifecycle, including investment managers, legal advisers, fund administrators, custodians, and internal risk and compliance teams
- Work closely with Client Managers and Senior Disclosure and Fund Compliance Manager and Fund Disclosure team to deliver strong governance outcomes and a high‑quality client experience
- Attend and contribute to client meetings, providing clear advice on scheme amendment processes, regulatory requirements, and delivery timelines
Project & Operational Management
- Project manage scheme amendment activity from initiation through to implementation, including tracking milestones, dependencies, and approvals
- Manage operational aspects of amendments such as buy‑backs, portfolio activity rollovers, and service provider transitions where relevant
Continuous Improvement & Culture
- Contribute to the development and maintenance of scheme amendment frameworks, templates, trackers, and governance tools
- Support continuous improvement initiatives across Responsible Entity Services to enhance efficiency, risk management, and client outcomes
- Role model organisational values and behaviours, fostering collaboration, accountability, and high performance across teams
About you
We’re looking for someone with:
- Tertiary qualification in law, commerce, finance, accounting, or a related discipline, with demonstrated experience in a responsible entity, trustee, fund manager, or professional services environment supporting managed investment schemes
- Experienced scheme amendments specialist with a strong track record delivering complex and routine amendments across managed investment schemes within a Responsible Entity or trustee environment
- Strong expertise in funds regulation and governance, including the Corporations Act, ASIC guidance, scheme constitutions, disclosure obligations, and Responsible Entity duties, applied pragmatically to real‑world change
- Proven end‑to‑end change and project management capability, managing scheme amendments, restructures,
and complex initiatives while balancing regulatory, commercial, timing, and stakeholder considerations
- Confident engaging with boards and senior stakeholders, with demonstrated experience preparing high‑quality board papers that clearly articulate rationale, investor impact, risk, and best‑interest considerations
- Legally and technically capable, with hands‑on experience reviewing, negotiating, and contributing to constitutions, amending deeds, service provider agreements, and disclosure documents (PDSs, TMDs, and related materials)
- Strong stakeholder and relationship manager, able to collaborate and influence effectively across legal, compliance, operations, client teams, and external service providers
- Risk‑aware and outcomes‑focused, with the ability to identify and manage regulatory, operational, and investor risks while maintaining a strong client service orientation
- Resilient and adaptable, comfortable operating in fast‑paced, high‑pressure environments and managing multiple schemes and competing priorities
