Job Overview:

As a result of a growing pipeline of work our Corporate Transactions team is looking to hire an experienced Lawyer in our Melbourne office. Candidates will ideally have Regulated M&A; experience and be able to work on a broad range of corporate transactions.

The corporate work is for a client base that spans mid-cap entities through to blue chips, and includes mainstream corporate transactions such as takeovers, IPOs, business and asset acquisitions and disposals, equity capital markets work, restructuring and recapitalisation transactions, joint venture arrangements, ASX listing rule work and corporate governance.

The firm is looking to make a long term investment in a strong lawyer, with regulated M&A; experience, who is similarly looking to make a long term career commitment to our corporate practice. Ashurst has a proven track record in developing lawyers and the vacancy represents an outstanding opportunity for a team-player with strong technical skills and an impressive commercial approach.

Recent work includes:

- Woolworths Group in relation to the A$10 billion merger of the Endeavour Drinks business and ALH Group to form the Endeavour Group integrated drinks and hospitality business and the A$12 billion separation of Endeavour.

- KKR, Värde Partners and Deutsche Bank on the $A8.2 billion acquisition of Latitude Financial Services and subsequent A$2.6 billion IPO of Latitude Financial Services.

- AIA Group on its A$2.7 billion acquisition of Commonwealth Bank of Australia's life insurance businesses in Australia (CommInsure Life) and New Zealand (Sovereign).

- Resolution Life on its A$3 billion acquisition of AMP Life.

- Huon Aquaculture Group on the potential A$545 million acquisition of Huon by JBS Australia through a scheme of arrangement.

- Washington H. Soul Pattinson on its proposed acquisition of Milton Corporation for approximately A$3.5 billion by way of scheme to create a merged entity with a leading, more diversified Australian investment house with a market capitalisation of approximately A$11 billion.

- Allegro Funds and Best & Less Group (BLG) in relation to BLG's initial public offering with a market capitalisation of A$271 million on listing with a A$60 million raise under the IPO and a A$40 million strategic investment in Best & Less Group by BB Retail Capital.

- Toll Group and Japan Post on the divestment of Toll's Global Express division.

- Tilt Renewables on the NZ$2.94 billion acquisition of its business by a consortium led by Powering Australian Renewables (PowAR), a partnership between AGL, investment manager QIC and the Future Fund, and Mercury NZ th

Essential Skills and Experience:

- 2-5 years' corporate experience gained within a top-tier firm or by a combination of top-tier and in-house

- Regulated M&A; experience

- Excellent communication skills, both written and verbal

- Superior drafting ability

- A commercial approach and an ability to articulate and negotiate effectively

- Strong attention to detail with well-developed analytical skills

- The ability to be team-focused and also work independently

- A proactive, positive and energetic approach with a commitment to providing excellent service, a desire to interact with the market and build client relationships
